Confidentiality & Non-Disclosure Agreement

This Confidentiality and Non-Disclosure Agreement (“Agreement”) is entered into between SageScout (“Company”) and the participant (“Participant”) in the SageScout beta cohort program.

The purpose of this Agreement is to allow Participant to access early-stage course materials, frameworks, templates, and related content while ensuring that such materials remain confidential and are used only for approved purposes.

Purpose

Participant is granted access to SageScout’s beta course materials solely for the purpose of:

  • Reviewing and testing course content

  • Providing feedback

  • Participating in the beta cohort experience

This is referred to as the “Purpose.”

Participant agrees not to use the materials for any other purpose.

Definition of Confidential Information

For the purposes of this Agreement, “Confidential Information” includes, but is not limited to:

  • Course lessons, videos, meditations, scripts, slides, templates, and worksheets

  • Frameworks, methodologies, exercises, and teaching concepts

  • Brand positioning, messaging, pricing strategy, and launch plans

  • Beta cohort discussions or shared participant feedback

  • Any unpublished intellectual property related to SageScout

Confidential Information includes both written and verbal materials, whether shared digitally, live, or in discussion.

Confidential Information does not need to be labeled “confidential” to qualify as confidential.

What Is Not Confidential

Confidential Information does not include:

  • Information that becomes publicly available through no fault of Participant

  • Information independently developed by Participant without reference to SageScout materials

  • Information required to be disclosed by law (provided Participant gives SageScout reasonable notice when legally permitted)

Participant Responsibilities

Participant agrees to:

  • Use Confidential Information only for the stated Purpose

  • Not share, reproduce, distribute, publish, or disclose any Confidential Information to any third party

  • Not post course materials, screenshots, or summaries publicly (including social media, blogs, AI tools, or forums)

  • Not record course sessions, videos, or live discussions without written permission

  • Take reasonable steps to protect access credentials and materials

Participant may not use the Confidential Information for personal commercial benefit or to create competing products.

Ownership

All course materials, frameworks, and intellectual property remain the sole property of SageScout.

Nothing in this Agreement transfers ownership rights to Participant.

Upon request, Participant agrees to delete or destroy any downloaded materials.

Term

This Agreement remains in effect during participation in the beta program and continues after completion or withdrawal from the program.

Governing Law

This Agreement is governed by the laws of the State of California. Any disputes arising under this Agreement shall be resolved in the courts located in California.

Acknowledgment

By participating in the SageScout beta cohort, Participant acknowledges that they have read, understood, and agree to comply with this Agreement.
